Terms of Service
These terms regulate access to and use of ProposeNow. By creating an account or using the platform, the user declares that they have read and accept these conditions.
1. The service
ProposeNow is a SaaS platform supporting the analysis of RFPs, RFIs, RFQs, and other demands, as well as the preparation, review, versioning, approval, and export of commercial and technical proposals.
Features, limits, and support tiers vary according to the contracted plan and may evolve over time. Public history and the roadmap are informative and do not represent a promise of delivery by a specific date.
2. Account, workspace, and responsibilities
- The user must provide true information and keep their credentials protected.
- The organization administrator is responsible for users, roles, permissions, and workspace content.
- The account must not be shared between people or used for unauthorized access.
- Activities performed during an authenticated session may be attributed to the respective account.
The user must immediately report any suspected compromise by24x7 Support Center.
3. User content and artificial intelligence
The user or their organization retains rights over the documents, data, and materials entered into the workspace. By using the service, you grant ProposeNow the limited authorization necessary to host, process, convert, and transmit this content exclusively to provide the requested functionalities.
Results produced with artificial intelligence may contain errors, omissions, or inadequate information. They constitute assistive material and must be checked by qualified professionals before being sent to clients, used in decisions, or assumed as a commercial, technical, or legal commitment.
The user is responsible for having authorization to process and send the used content and for not including credentials, secrets, or personal data beyond what is necessary.
4. Acceptable use
It is not permitted to use ProposeNow for:
- Violate laws, third-party rights, intellectual property, or confidentiality obligations.
- Introduce malicious code, exploit vulnerabilities, or interfere with service availability.
- Bypass plan limits, access controls, auditing, or billing mechanisms.
- Perform abusive automation, unauthorized resale, or processing incompatible with the purpose of the platform.
- Produce discriminatory, fraudulent, or harmful content.
5. Plans, billing, and cancellation
ProposeNow may offer free and paid plans with distinct capabilities and limits. Prices, billing frequency, taxes, and applicable conditions are presented prior to subscription.
Payments and card data are processed by Asaas. ProposeNow only stores identifiers, status, and billing information necessary for subscription management, not the complete card data.
Plan changes, renewal, default, grace period, suspension, and cancellation follow the conditions displayed on the platform at the time of the request. The AI usage included in the plans is subject to the fair use policy and anti-abuse measures.

6. Intellectual property
The software, visual identity, components, institutional texts, and proprietary materials of ProposeNow are protected by applicable legislation. These terms grant only a limited, revocable, non-exclusive, and non-transferable license to use the service during the account's validity.
Templates and content submitted by the organization remain subject to the rights of their respective owners.
7. Availability and changes
We make reasonable efforts to keep the service secure and available, but maintenance, third-party failures, network outages, or events beyond our control may occur. Features may be updated, replaced, or discontinued for security, compliance, or product evolution.
8. Suspension and termination
Access may be suspended due to default, security risk, abusive use, or violation of these terms. The user may request account termination and deletion through the contact channel, subject to legal and contractual obligations and the operational deadlines described in the Privacy Policy.
9. Limits and applicable law
ProposeNow does not replace the user's technical, commercial, legal, or security analysis. The organization is responsible for the decisions, statements, and commitments included in its proposals.
These terms are governed by the laws of the Federative Republic of Brazil. Any disputes shall initially seek a good-faith resolution through the contact channel, without prejudice to rights guaranteed by applicable legislation.

The terms may be updated to reflect changes in the service or legislation. Relevant changes will be identified by the date of the new version and, when necessary, communicated to the user.
